Terms of Service

These Terms of Service ("Agreement") govern your access to and use of the Aivance Digital platform and services. By accessing our platform, you agree to be bound by this Agreement.
1. Acceptable Use
Permitted Use
You may use the Aivance Digital platform solely for lawful business purposes in accordance with this Agreement. Permitted uses include operating the AI services for your internal business operations, integrating our APIs into your authorised products, and accessing analytics and reporting features within your subscription tier.
Prohibited Activities
You may not: use the platform to train competing AI models or systematically extract our proprietary AI outputs; reverse-engineer, decompile, or attempt to access our source code or model weights; use the platform for illegal activities including fraud, money laundering, or generating harmful content; resell or sublicense access without written authorisation; exceed rate limits or circumvent usage controls; or use the platform to process data you are not legally authorised to process.
AI Output Responsibility
You are responsible for reviewing, validating, and making decisions based on AI outputs. Aivance AI recommendations are decision-support tools. You must not rely solely on AI outputs for high-stakes decisions (medical diagnoses, legal determinations, major financial transactions) without appropriate human review.
2. Subscriptions & Payments
Subscription Plans
Aivance Digital offers Starter, Growth, and Enterprise subscription plans. Feature availability, usage limits, and SLA commitments vary by plan. All plan details are described in your Order Form or at aivancedigital.com/pricing. Aivance reserves the right to modify plan features with 60 days' notice.
Billing & Payment Terms
Subscriptions are billed in advance on a monthly or annual basis. Annual subscribers receive a minimum 15% discount. Payment is due within 30 days of invoice. Late payments accrue interest at 1.5% per month. We accept major credit cards, bank transfers, and purchase orders for Enterprise accounts.
Cancellation & Refunds
You may cancel your subscription at any time. Monthly subscriptions terminate at the end of the current billing period. Annual subscriptions are non-refundable after 14 days from the subscription start date. Pro-rated refunds may be provided at Aivance's discretion for documented service failures. Enterprise contract terms supersede these standard terms.
3. Intellectual Property
Aivance Ownership
Aivance Digital owns all rights to the platform, AI models, software, documentation, trade secrets, and associated intellectual property. This Agreement does not transfer any ownership rights to you. "Aivance", "Aivance Digital", and associated logos are registered trademarks of Aivance Digital Private Limited.
Your Data & Outputs
You retain full ownership of your input data and any AI-generated outputs produced by the platform using your data. You grant Aivance a limited, non-exclusive licence to process your data solely to deliver the contracted services. We do not use your proprietary data to train our general AI models without explicit written consent.
Licence Grant
Aivance grants you a limited, non-exclusive, non-transferable, revocable licence to access and use the platform during your subscription term, solely for your internal business purposes and in accordance with this Agreement and applicable documentation.
4. Limitation of Liability
Warranty Disclaimer
The platform is provided "as is" with a 99.9% uptime SLA on Enterprise plans. We disclaim all implied warranties of merchantability, fitness for a particular purpose, and non-infringement to the extent permitted by law. AI outputs are probabilistic and not guaranteed to be accurate, complete, or suitable for any specific purpose.
Liability Cap
To the maximum extent permitted by applicable law, Aivance's total aggregate liability arising from or related to this Agreement shall not exceed the total fees paid by you in the 12 months preceding the claim. This limitation applies regardless of the legal theory under which liability is asserted.
Exclusion of Consequential Damages
Neither party shall be liable for indirect, incidental, special, consequential, or punitive damages, including loss of profits, revenue, goodwill, or data, even if advised of the possibility of such damages. This exclusion does not apply to breaches of confidentiality obligations or gross negligence.
5. Governing Law & Disputes
This Agreement is governed by the laws of India. Disputes shall first be resolved through good-faith negotiation. If unresolved within 30 days, disputes shall be referred to binding arbitration under the Arbitration and Conciliation Act, 1996, with proceedings in Hyderabad, India. The language of arbitration shall be English.
